Please read these Terms and Conditions carefully. This agreement affects your rights.
These Terms & Conditions apply to your use of Codebox, a website holding the domain www.codeboxads.com , owned and managed by Masader Alfuras Company, its affiliates, and its subsidiaries (“Codebox”, “us”, “our”, and “we”). These terms apply in full force and effect to your use of this site and constitute a legally binding agreement. By using Codebox, YOU AGREE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY All OF ITS TERMS AND CONDITIONS.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DISCONTINUE PARTICIPATION IN AND USE OF THE PROGRAM(S) IMMEDIATELY.
1. CHANGES TO THE TERMS AND CONDITIONS
1.1 Codebox may at its discretion modify, update, add to, discontinue, remove or otherwise change these Terms and Conditions at any time. Any modification will take immediate effect upon notification to you. Notifications regarding changes to these Terms and Conditions will be sent to you by email or other reasonable means now known or hereinafter developed.
1.2 Your continued use of our website following any such notifications constitutes your acceptance of such modifications and your agreement to be bound by these Terms and Conditions. If you do not agree to any modification of these Terms and Conditions, your sole remedy is to discontinue your use of Codebox. The most current version of these Terms and Conditions will be available on our website and supersedes previous versions.
2. INFORMAL DISPUTE RESOLUTION
We would like an opportunity to address your concerns without a formal legal case. Before filing a claim against Codebox or its investors, affiliates, employees, or executive officers, you agree to try to resolve the dispute informally by submitting your request through our email: Merchant@codeboxads.com. We will try to resolve the dispute informally by contacting you in writing via email. If a dispute is not resolved within 30 days of submission through this form, you or Codebox may bring a formal proceeding.
3. YOUR CONTENT
Codebox allows you to display or upload content to our website for marketing and advertising purposes. “Your Content” shall mean any audio, video, text, images or other material you choose to display or upload on this site or its servers. With respect to your content, by displaying or uploading this to Codebox, you grant us a non-exclusive, worldwide, irrevocable, royalty-free, sub-licensable right to use, reproduce, adapt, publish, translate and distribute it in any and all media.
Your Content must be your own and must not be infringing on any third party’s rights. We reserve the right to remove any of your content from this site at any time, if it does not comply with “Codebox Code of Ethics” or for any reason, without notice.
4. INTELLECTUAL PROPERTY RIGHTS
Under these Terms, We and/or our licensors own all rights to the intellectual property and material contained in our website, and all such rights are reserved. You are granted a limited license only, subject to the restrictions provided in these terms, for purposes of viewing the material or uploading your content. Under these terms, you must not:

● Sell, rent or sub-license material from Codeboxads.com
● Reproduce, duplicate or copy material from Codeboxads.com
● Redistribute content from Codeboxads.com
5. COMMISSIONS AND TERMS OF PAYMENTS
You are offered a 90 day commission free trial. Your continued use of Codebox beyond 90 days will be subject to commissions.
During the store sign up process, you will have the option to select specific categories of products/services you are selling or choose “multiple categories”. In uploading coupons, you can either use a single discount coupon applicable to all products in your store or use multiple unique coupons for select products or services you are promoting.
Commission rates are calculated based on the category of product or service you selected and apply to all sales completed on your online store using each Codebox coupon. A comprehensive list of the specific commission rates for each category of products or services will be sent to your email as soon as your store registration is approved. It is also possible to agree on a fixed commission rate if you wish to market multiple categories of products or services using a single discount coupon. A separate agreement letter stating a fixed commission rate (subject to negotiation between Codebox and merchant) will also be emailed to you once you choose “multiple categories” during the sign up process.
A separate invoice stating all transactions completed on your store using each Codebox coupon and due commissions will be generated every 25 days and sent to your email. Commissions are due for payment within 10 days of receiving invoices. Any delays in payment beyond 60 days will be subject to Ministry of Commerce laws and regulations . Mode of payment is bank transfer, accepted only in SAR. Details of international bank account number (IBAN) will be emailed to the store representative following your store’s on-boarding to Codebox.
6. RESTRICTIONS
You are strictly prohibited from all the following:
1. Using this site in any way that is, or may be, damaging to Codebox, its affiliates, or subsidiaries.
2. Using this site in any way that impacts user access to the site.
3. Using this site contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the site, or to any person or business entity.
5. Engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this site, or while using this site.
7. LIMITATION OF LIABILITY
In no event shall we, nor any of our officers, directors or employees, be liable to you for anything arising out of or in any way connected with your use of this site, whether such liability is under contract, tort or otherwise.
We, including our officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Site.
8. CANCELLATION POLICY
Requests for cancellation of a coupon can be submitted through the merchant’s dashboard. This can also be raised to Merchant@codeboxads.com. Commissions will be chargeable until coupons are entirely removed from Codebox website.
9. GOVERNING LAW
This Agreement is governed by the laws of the Kingdom of Saudi Arabia, and the parties hereby submit to the jurisdiction of the competent courts in Riyadh, Kingdom of Saudi Arabia in any matter that may arise or relate to this agreement.
